ENVOSSIBLE SERVICES PRIVATE LIMITED (CIN U62099HR2023PTC109837) having registered address at # 459,SECTOR 10,Panchkula Sector 8,Panchkula,Panchkula-134109,Haryana, hereinafter called as company which is providing the service under the trade name of ICube (Industry Institute Interface). ON FOLLOWING TERMS AND CONDITIONS:
That the user understands that present I-application/ mobile application / website is merely providing a Platform and the Service of bringing the technical expert/ service provider and Industry/ Establishments/ organizations/ Enterprises / Individuals/ solution seeker in front of each other, which is subject to the Terms of Use (these "Terms & Conditions" hereinafter referred as "T&C" ) and for the purpose of the "T&C" ` and wherever the context so requires, the terms "user", "you" and "your" shall mean any person who uses or accesses, whether through actual or virtual means i.e. physical or automated means, the Platform or the Service in any manner whatsoever including persons browsing the Platform and its content, posting notes/ observations/ comments or any content or responding to any content on the Platform. By using the I-application/ mobile application / website / service, you agree to comply with these T&C. Additionally, when using a portion of the Service, you agree to confirm to applicable guidelines for such service,
That Terms & Conditions / T&C may change or be updated from time to time at Envossible Services Private Limited's sole discretion, however any change, novation or recession of T&C shall be notified to you on your registered e-mail ID and shall be deemed to have been accepted upon actual acceptance or no objection within 15days of posting of e-mail. Any claim of Ignorance, or lacking knowledge shall not be acceptable or can be raised anywhere after said 15 days of posting of e-mail. You understand and agree that you are solely responsible for going through these T&C from time to time. Any objection to any term or condition of these T&C, any guideline, or any subsequent changes thereto or become unhappy with the Service in any way, provides you only choice is to immediately discontinue the use of service and in any such case the amount paid for registering yourself shall not be refundable.
That both technical expert/ service provider and Industry/ Establishments/ organizations/ Enterprises / Individuals/ solution seeker as the case may be have agreed to pay an annual platform fee / subscription fee of INR 1500 (Rupees one thousand Five hundred only) for using the website services which are applicable charges for the period upto 31.3.2025. Registering as user prior to such date shall make the user entitled to avail the services for complete one year starting from the date of payment / registration which ever is later. The company reserves its right to change or increase the said annual platform fee / subscription fee.
That upon successful meeting of minds and before entering into the exclusive contract between technical expert/ service provider AND Industry/ Establishments/ organizations/ Enterprises / Individuals/ solution seeker, an amount of 10 percent of the total project value shall be payable to Company by Industry/ Establishments/ organizations/ Enterprises / Individuals/ solution seeker in Company's account and the remaining 90% shall be payable to the technical expert/ service provider by the Industry/ Establishments/ organizations/ Enterprises / Individuals/ solution seeker as per their agreed terms and conditions of payment
That the said solution fee payable by Industry/ Establishments/ organizations/ Enterprises / Individuals/ solution seeker shall be credited to technical expert/ service provider respective institute's account (which shall be notified as the case may be) and any refund out of same, if necessitated, shall be claimed from respective institute's account only and company holds no liability to refund or get the refund processed.
That since company, through its service of this I-application/ mobile application / website, act as a venue/platform to allow our users who comply with these T&C, to seek solutions from experts and provide solutions by experts listed on the Platform, you hereby acknowledge and agree that company is not a party to any such problem or solution and has no control over any element of such problems or solutions and shall have no liability to any party in connection with such problems or solutions or performance of any contract if arrived at. You use the Service and the Platform at your own risk.
You understand that company enrolls the technical expert/ service provider as well as Industry/ Establishments/ organizations/ Enterprises / Individuals/ solution seeker on the basis of self declaration, which shall be unverified and company disclaims its liability from any false declaration and shall not be responsible for Content or any opinion, statement, recommendation, or advice, including without limitation to future transactions even after entering into final contract outside company's domain whether through the Platform of company or another Third Party inclusion
All comments, user postings, files, images, photos, video, sounds, business information and or any other material made available through the Platform and the Service ("Content"), and that by using the Platform and the Service if found to be false, indecent, inaccurate, misleading, or otherwise objectionable, you acknowledge and agree that company shall be not responsible in any manner and you must evaluate, and bear all risks associated with, the use of and belief upon any Content, that you may not rely on said Content, and that under no circumstances company will be liable in any way for the Content or for any loss or damage of any kind incurred as a result of the browsing, using or reading any Content listed, emailed or otherwise made available via the Service.
That you acknowledge and agree that company cannot and does not pre-screen or approve any Content, but that company has the right, in its sole and absolute discretion, to refuse, delete or move any Content that is or may be available through the Service, for violating these T&C and such violation being brought to company's knowledge or for any other reason or no reason at all.
That Company makes no representation or guarantee as to the accuracy or authenticity of the information contained in any such content, and company disclaims all liability thereto.
You acknowledge and agree that you are solely responsible for your own Content posted on and the Content is available on the Platform, have the necessary licenses, rights, consents, and permissions to use such Content on the Service and Platform (including without limitation all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all such Content) and authorize Company to use and share such Content to enable inclusion and use of the Content in the manner contemplated by the Service, the Platform and these T&C; and for clarity, you retain all of your ownership rights in your Content; however, by submitting any Content on the Platform, you hereby grant to Company an irrevocable, non-cancellable, perpetual, worldwide, non-exclusive, royalty-free, sub-licensable, transferable license to reproduce, distribute, prepare derivative works of, display in connection with the Platform and Company (and its successor's) business, including without limitation.
That Company does not endorse any Content or any opinion, statement, recommendation, or advice expressed therein, and Company specifically disclaims any and all liability in connection with User Content. Company does not permit copyright infringing activities and infringement of intellectual property rights on the Platform, and company may, at its sole discretion, remove any infringing Content if properly notified in accordance with applicable law that such Content infringes on another's intellectual property rights. Company reserves the right to remove any Content without prior notice. Company may also terminate a user's access to the Platform if they are determined to be a repeat infringer or found to be indulging in any act contrary to these T&C. A repeat infringer is a user who has been notified of infringing activity atleast twice and/or has had a user submission removed from the Platform more than twice. Further, at its sole discretion, Company reserves the right to decide whether any Content is appropriate and complies with these T&C.
That company holds the exclusive right/ privilege to protect your data by removing any information related to user's personal identity as deemed fit from the submitted problem statements/ proposed solutions, before sharing it with other stakeholders and the process of collection, usage, and protection of personal information of users has been duly explained in privacy policy of this this I-application/ mobile application / website conditions and the user affirms the same to be acceptable.
That user agree to use this website for lawful purposes only and undertakes not to engage in any such conduct that could harm the company or its users. User is responsible for any content submitted to the website and agrees that such submissions do not violate any laws or infringe upon the rights of others.
All intellectual property rights in the website, including copyrights, trademarks, and patents, are owned by Envossible Services Private Limited.
THAT COMPANY SPECIFICALLY DISCLAIMS ABOUT THE ACCURACY OR COMPLETENESS OF THE REPRESENTATIONS OR PLATFORM'S CONTENT OR THE CONTENT OF ANY THIRD-PARTY WEBSITES WHICH MAY BE LINKED TO THE PLATFORM AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE PLATFORM AND SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, COMMUNICATED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM OR THE SERVICE. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT COMPANY SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY USER OR THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
You agree to defend, indemnify and hold harmless Company, its officers, affiliates, successors, assigns, directors, agents, service providers, and employees, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys' fees) arising from (i) your use of and access to the Platform and/or the Service; (ii) your violation of any term of these T&C; (iii) your violation of any third party right, including without limitation any copyright, trademark, trade secret or other property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive termination, modification, or expiration of these T&C and your use of the Service and the Platform
All disputes or any dispute between company and registered user shall be subject to the adjudication at Patiala only within the jurisdiction of Patiala (Punjab) (India) Courts and this T & C sets out that all or any dispute in connection with usage of any service of this I-application/ mobile application / website shall be resolved through arbitration and acceptance to these T&C and on becoming registered user there shall be binding arbitration agreement with the applicable law of Arbitration and Conciliation Act, 1996. The seat, venue and place of arbitration shall be Patiala.
